Terms of Service (FTC Platform)
- Acceptance of Terms
By accessing or using the FTC platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must cease using the Platform immediately.
- Platform Overview
FTC operates an online marketplace that connects event organisers (“Organisers”) with independent food truck vendors (“Vendors”) across Australia.
FTC acts solely as an intermediary, facilitating introductions and booking coordination. FTC is not a party to any agreement entered into between Organisers and Vendors and does not provide catering services.
- User Accounts
3.1 Vendor Obligations
Vendors must:
- Provide accurate and current business information, including a valid ABN
- Hold and maintain all required licences, permits, and registrations
- Maintain current public liability insurance (minimum coverage as reasonably required by FTC)
- Ensure account credentials are kept secure
- Comply with all applicable laws and regulations
3.2 Organiser Obligations
Organisers must:
- Provide complete and accurate event details
- Ensure lawful use of venues and obtain any necessary approvals
- Make payments in accordance with agreed booking terms
- Communicate professionally and in good faith
- Bookings and Payments
- All bookings are subject to Vendor acceptance
- A deposit may be required to confirm a booking
- Final payment terms are agreed directly between Organisers and Vendors
- FTC may facilitate payment processing but is not responsible for payment disputes
- Cancellation terms are determined within each booking agreement
- Fees and Commission
FTC charges a commission or service fee on successful bookings.
- Commission rates are disclosed during Vendor onboarding or prior to booking confirmation
- FTC reserves the right to vary its fees with reasonable notice
- Fees may be deducted from Vendor payouts or charged separately
- Vendor Responsibilities
Vendors agree to:
- Comply with all food safety, health, and regulatory requirements
- Maintain appropriate insurance at all times
- Provide services in a professional and timely manner
- Supply accurate menus, pricing, and service descriptions
- Honour confirmed bookings unless prevented by circumstances beyond reasonable control
- Organiser Responsibilities
Organisers agree to:
- Provide safe and suitable access to the event location
- Ensure availability of required utilities (if applicable), such as power or water
- Comply with local council regulations and permits
- Pay all agreed amounts on time
- Cancellations and Refunds
- Cancellation terms are determined between the Organiser and Vendor
- FTC is not responsible for issuing refunds unless explicitly agreed
- Any platform fees paid to FTC may be non-refundable unless required by law
- Limitation of Liability
To the maximum extent permitted by law:
- FTC is not responsible for the quality, safety, legality, or delivery of Vendor services
- FTC is not liable for disputes, cancellations, delays, or non-performance by users
- FTC excludes all liability for indirect, incidental, or consequential loss, including loss of profit, revenue, or opportunity
- FTC’s total liability, if any, is limited to the amount of fees paid to FTC in relation to the relevant booking
Nothing in these Terms excludes rights under the Australian Consumer Law that cannot be lawfully excluded.
- Indemnity
You agree to indemnify and hold harmless FTC, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal costs) arising out of:
- Your use of the Platform
- Your breach of these Terms
- Any dispute between Organisers and Vendors
- Your breach of any applicable law or third-party rights
- Dispute Resolution
Users agree to first attempt to resolve any dispute directly between themselves in good faith.
If a dispute cannot be resolved:
- Parties agree to attempt mediation before commencing legal proceedings
- FTC may, at its discretion, assist in facilitating communication but is not obliged to resolve disputes
- Force Majeure
FTC is not liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, government restrictions, or technical failures.
- Intellectual Property
All content on the Platform, including branding, text, graphics, and software, is owned by or licensed to FTC and is protected under applicable intellectual property laws.
Users must not reproduce, distribute, or exploit any content without prior written consent.
- Suspension and Termination
FTC reserves the right to suspend or terminate any account at its discretion where a user:
- Breaches these Terms
- Engages in misleading, fraudulent, or unlawful conduct
- Risks harm to other users or FTC’s reputation
- Privacy
Use of the Platform is also subject to FTC’s Privacy Policy, which outlines how personal information is collected, used, and stored.
- Governing Law
These Terms are governed by the laws of New South Wales, Australia. Users submit to the exclusive jurisdiction of the courts of New South Wales.
- Amendments
FTC may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
